Terms of Service

1. Acceptance of Terms

By accessing or using the StudAI BOS platform (the “Service”) provided by StudAI Technologies Pvt. Ltd. (“StudAI,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree, you must not use the Service.

2. Service Description

StudAI BOS is an AI-native Business Operating System that provides workflow automation, strategic command, organizational intelligence, task management, department coordination, and AI-powered insights for businesses. The Service includes a web application, APIs, integrations, and any associated documentation.

Important: The Service provides AI-generated suggestions, analytics, and recommendations for business operations. These outputs are informational in nature and do not constitute financial, legal, medical, tax, or other professional advice. You are solely responsible for decisions made based on the Service’s outputs.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

The individual who creates the organization workspace is designated as the Organization Administrator (“Org Admin”) and assumes responsibility for managing users, roles, permissions, and billing for that organization. Org Admins must ensure all invited users comply with these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Scrape, crawl, or use automated means to extract data from the Service beyond the provided APIs.
• Interfere with or disrupt the integrity, security, or performance of the Service.
• Attempt to gain unauthorized access to other organizations’ data or workspaces.
• Use the Service to transmit malware, spam, or other malicious content.
• Sublicense, resell, or redistribute the Service without written authorization.

5. AI Services

The Service incorporates artificial intelligence and machine learning capabilities. By using these features, you acknowledge and agree to the following:

• No Professional Advice: AI-generated outputs—including strategic recommendations, financial projections, workflow suggestions, and organizational insights—are provided for informational purposes only. They do not constitute professional advice of any kind.
• Human-in-the-Loop: Critical business decisions, including those involving financial commitments, legal obligations, personnel actions, or regulatory compliance, must involve qualified human review and judgment. The Service is designed to augment, not replace, human decision-making.
• Accuracy Limitations: While we strive for accuracy, AI outputs may contain errors, omissions, or inaccuracies. You are responsible for verifying all AI-generated content before acting upon it.
• Data Processing: Your organization’s data may be processed by AI models to generate insights. This processing occurs within our secured infrastructure and your data is never used to train models for other customers.

6. Subscription & Billing

• The Service is offered on a subscription basis with monthly and annual billing options.
• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• We reserve the right to modify pricing with at least 30 days’ prior written notice. Price changes will take effect at the start of the next billing cycle following the notice period.
• All fees are exclusive of applicable taxes (including GST), which will be charged as required by law.
• You are responsible for providing accurate billing information and ensuring timely payment. Failure to pay may result in suspension or termination of Service access.

7. Intellectual Property

The Service—including its source code, design, architecture, algorithms, documentation, trademarks, and all related intellectual property—is and remains the exclusive property of StudAI Technologies Pvt. Ltd. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

8. Data Ownership

You retain all rights, title, and interest in your data. All business data, documents, content, and information that you or your organization upload, create, or generate within the Service (“Customer Data”) remains your property. We do not claim any ownership rights over Customer Data.

You grant StudAI a limited, non-exclusive license to process Customer Data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

9. Service Availability

We target 99.9% monthly uptime for Scale and Enterprise plan subscribers, as detailed in our Service Level Agreement.

We reserve the right to perform planned maintenance during designated maintenance windows, which will be announced at least 48 hours in advance. We will make commercially reasonable efforts to minimize disruption during maintenance periods.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STUDAI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO STUDAI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL STUDAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER STUDAI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

By You: You agree to indemnify, defend, and hold harmless StudAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) Customer Data.

By StudAI: StudAI agrees to indemnify and defend you against any third-party claims alleging that the Service, as provided, infringes any third-party intellectual property rights, provided that you promptly notify us, cooperate in the defense, and allow us sole control of the defense and settlement.

12. Suspension & Termination

By You: You may terminate your account at any time through the account settings or by contacting support.

By StudAI: We may suspend or terminate your access to the Service immediately if you: (a) materially breach these Terms, (b) fail to pay fees when due, (c) engage in prohibited conduct, or (d) pose a security risk to the Service or other users.

Data Export: Upon termination, you will have a 30-day period to export your Customer Data. After this period, we will permanently delete your data in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

14. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If the dispute remains unresolved, it shall be referred to binding arbitration administered under the Arbitration and Conciliation Act, 1996 (India), with a sole arbitrator appointed by mutual consent. The seat of arbitration shall be Bangalore, India, and proceedings shall be conducted in English.

Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.
